Welcome to Bigledger Sdn Bhd. These Terms of Service govern your access to, licensing of, and use of our technology solutions, enterprise applications, cloud storage data lakes, and software operating platforms. By accessing our platform, signing a software service agreement, or completing a payment, you agree to comply with these terms.

1. Nature of Services and Account Security

Bigledger Sdn Bhd is a technology and enterprise software service provider. We deliver cloud-native data hubs, flexible cloud data lakes, and composable business operating systems. We do not sell consumer retail items or physical goods.

You must provide accurate, complete, and updated information when creating an account, onboarding your company, or provisioning an enterprise node.

You are entirely responsible for maintaining the confidentiality of your API keys, encryption tokens, login credentials, and account access passwords.

2. Subscription Models and Dynamic Cloud Data Scaling

  • Subscription Framework: Services are billed on a recurring Monthly or Annual software subscription cycle, depending on your selected tier.
  • Dynamic Data Scaling: Cloud infrastructure storage fees depend entirely on the volumetric size of your data. If your enterprise data size increases beyond your initial allocated tier, Bigledger Sdn Bhd reserves the express right to dynamically upgrade your tier and apply additional charges. These adjusted data-scaling fees will be billed and charged automatically on a recurring monthly or annual basis to reflect your real-time cloud infrastructure consumption.

3. Professional Services, Out-of-Scope Work, and Maintenance Fees

  • On-site Support, Customization, & Training: Any request requiring a Bigledger Sdn Bhd employee to be physically present on-site at the client’s premises will be charged at a flat rate of RM 1,500 per man-day. This professional fee strictly excludes accommodation and transport costs, which shall be billed separately to and paid by the client.
  • Ad-hoc Maintenance and Enhancements: Unscheduled maintenance, system updates outside standard support, and operational enhancements will be charged at RM 1,500 per man-day.
  • Strict Out-of-Scope Definitions: Enhancements or modifications to the core application are considered out-of-scope and will be charged separately at RM 1,500 per man-day. Out-of-scope parameters include, but are not limited to:
    • Any system modifications or interventions requiring at least one (1) man-hour of work that is deemed not to be a technical bug within the core scope of the existing system.
    • Any system alterations requiring modifications, upgrades, or variations to the database structure.
    • Any technical adjustments mandated due to code updates, API deprecations, or structural changes occurring in external third-party systems that the Bigledger system depends upon.
    • Any change or enhancement request that amounts to the creation or deployment of a new webpage or user interface.

4. Strict No-Refund and No-Return Policy

All Sales Are Final: Once a transaction is authorized and payment is successfully completed (including initial setup fees, recurring monthly/annual software subscriptions, dynamic cloud data scaling adjustments, on-site professional service fees, or out-of-scope development billing), the payment is 100% non-refundable.

No Active Refund Window: There is no active refund, cancellation credit, or rollback window under any circumstances. No refunds or exchanges will be issued for completed setups, system deployments, software activations, applet downloads, or unused portions of any billing cycles.

5. Proprietary Rights and Anti-Reverse Engineering Clause

Intellectual Property: All software code, frameworks, core logic, architecture, micro-applets, user interfaces, and documentation remain the exclusive intellectual property of Bigledger Sdn Bhd.

Strict Prohibitions: Users, clients, and developers are strictly prohibited from attempting to reverse engineer, decompile, disassemble, modify, decrypt, extract, or duplicate the source code, proprietary algorithms, or operational mechanisms of the Bigledger ecosystem. You may not bypass any licensing systems, security structures, or usage filters.

Legal Action & Enforcement: Any attempt to reverse engineer or abuse the software code will result in immediate termination of all platform licenses and software access without notice. Bigledger Sdn Bhd explicitly reserves the right to pursue criminal charges, claim full financial damages, and launch severe civil legal action under Malaysian intellectual property laws.

6. Mandatory Tax and E-Invoicing Requirements

In accordance with the LHDN MyInvois framework enforced in Malaysia, clients are required to provide valid tax identification parameters (such as Corporate Entity Name, Company Registration Number, NRIC/Passport Number, and TIN) during checkout or onboarding.

Bigledger Sdn Bhd does not accept liability for delays, failures, or errors in official tax invoice validation resulting from invalid, outdated, or omitted tax details provided by the client.

7. Limitation of Liability

To the maximum extent permitted by Malaysian law, Bigledger Sdn Bhd shall not be held liable for indirect, incidental, or consequential financial losses, data loss, business interruption, or damages resulting from third-party channel downtimes, server outages, or cloud infrastructure disruptions.

Our total operational liability for any verified legal claim connected directly to our technology services is strictly limited to the absolute amount paid by the client for that specific, single transaction.

8. Governing Law

These Terms of Service shall be governed by, interpreted, and enforced in accordance with the laws of Malaysia. Any unresolved disputes or legal actions initiated by Bigledger Sdn Bhd regarding system abuse, copyright infringement, or contract breaches will fall under the exclusive jurisdiction of the Malaysian courts.
